Formation of Contract

The contract shall be initiated upon receipt of your purchase order.  The place of contract is New Brunswick , Canada and New Brunswick law shall govern.  

Scope of Contract

The goods to be supplied, and the work to be performed under the contract, shall be as specified in your purchase order.

Technical Documents

The documents provided as part of the contract describe our design, and the ideas expressed remain our intellectual property. They may not be used for purposes other than this contract. When you provide the detailed design, the intellectual rights remain yours. Technical documents provided in cases where an order does not result, are subject to return upon our request.

Terms of Payment

For new customers we require 25% of payment with order, 50% prior to shipping and 25% in 30 days from date of invoice. 

For regular repeat customers, payment is required in 30 days from date of invoice.  Unpaid invoices may result in an interruption of service.

Interest may accrue on unpaid accounts. A 2% discount is applied for payment in 10 days.

We accept wire transfers, Certified check, Visa, Paypal and MasterCard.

Prices quoted to you are valid for 30 days. Normal shipping point is FOB our facility. Insurance for shipments beyond the FOB point and for any of your goods provided to us for use in our products is your responsibility.

Guarantee

All products are inspected carefully before leaving our care.

Dispatch

We will take all reasonable measures to comply with your delivery requirements and our delivery promises. We are subject to the supply of materials to us and cannot be responsible for delays beyond our control. We do not accept penalties for late delivery to you.

You are not entitled to terminate a purchase order without our written consent.

Limited Warranty

Within one year from the date of leaving our facility, we will remedy any defect in our workmanship, at our factory. As an alternative, warranty service at your location can be provided with time and expense for travel and waiting time (beyond our control) at your cost.   Materials that we purchase for use in our products will be covered by the specific warranty provided by that manufacturer. Tampering with the product and its components carries the risk of voiding warranty. We will not accept returned material without our Return of Material Authorization number.

Defects caused by wear and tear, accident, misuse, or neglect are not covered by warranty.

All other warranties, expressed or implied, including warranty of merchantability, or warranty of fitness for any particular purpose, are expressly disclaimed and excluded.

Incidental and consequential damages are not covered. These include loss of time, inconvenience, and commercial loss.
